Artist & Originator Agreement

- INTRODUCTION
This Artist & Originator Agreement (“Agreement”) governs the relationship between Virtual Album Store (“VAS”, “we”, “us”, “our”) and any Artist, Performer, Musician, Producer, Writer, Film Maker, Content Creator, Rights Holder, or Originator (“Artist”, “you”, “your”) who uploads, markets, distributes, or sells content through the Virtual Album Store platform and associated mobile applications.
By registering and listing content on the platform, you agree to be bound by this Agreement.
- ELIGIBILITY
The platform is intended solely for legitimate rights holders and authorised representatives.
All applications are subject to approval and verification by VAS.
VAS reserves the right to refuse or terminate any account at its sole discretion where:
- Ownership cannot be verified.
• Copyright concerns exist.
• Fraudulent activity is suspected.
• Platform standards are not met.
- PRODUCTS PERMITTED FOR SALE
Artists may offer the following products through VAS:
- Digital Music Downloads
• Singles
• EPs
• Albums
• Other approved audio formats - Physical Products
• CDs
• Limited edition releases
• Approved merchandise (subject to approval) - Video Content
• Music videos
• Mini-movies
• Documentaries
• 360° virtual productions
• Other approved visual media
VAS reserves the right to approve or reject any content.
- OWNERSHIP AND COPYRIGHT
You retain full ownership of all intellectual property rights in your content.
You confirm that:
- You own the rights to all uploaded content; or
• You possess all necessary permissions and licences.
You grant VAS a non-exclusive worldwide licence to:
- Host content
• Display content
• Promote content
• Market content
• Process sales through the platform
This licence remains active while content is listed on the platform.
- ARTIST RESPONSIBILITIES
Artists remain solely responsible for:
- a) Copyright compliance
b) Performer rights
c) Publishing rights
d) Mechanical royalties
e) Collection society registrations
f) VAT obligations
g) Income tax obligations
h) Royalty splits and payments to collaborators
i) Product quality
j) Product descriptions
k) Marketing activities outside the platform
- PHYSICAL PRODUCT FULFILMENT
Where physical products are sold:
- Artists are responsible for stock control.
• Artists are responsible for packaging.
• Artists are responsible for shipping.
• Artists are responsible for customer delivery issues.
VAS acts solely as a sales platform and is not responsible for physical fulfilment.
- BANKING DETAILS
Artists must provide accurate banking information.
Payments will only be made to verified bank accounts.
Artists must promptly notify VAS of any banking changes.
- COMMISSION AND PAYMENT STRUCTURE
Recommended Retail Prices:
Single: £1.25
EP/Video: £4.25
Album: £10.25
Artists may choose alternative pricing subject to approval.
Sales Revenue Distribution:
- VAS Platform Fee: 10%
• Stripe Processing Fee: 20p plus applicable percentage fees
• Remaining balance payable to Artist
Payments are normally processed monthly on or around the 10th day of each month.
VAS reserves the right to delay payments where fraud investigations, chargebacks, disputes, or compliance reviews are ongoing.
- TAXES
Artists are solely responsible for:
- VAT registration obligations
• VAT reporting
• Income tax
• Corporation tax
• National Insurance contributions
• Any local taxation requirements
VAS does not provide tax advice.
- REFUNDS AND CHARGEBACKS
Digital products are generally non-refundable once downloaded or accessed.
Refunds may be issued where:
- A product cannot be downloaded.
• A file is corrupted.
• Content materially differs from its description.
Chargebacks initiated by customers may be deducted from future Artist payments.
- PROHIBITED CONTENT
Artists may not upload content that:
- Infringes copyright
• Is fraudulent or misleading
• Contains unlawful material
• Promotes violence or hatred
• Violates privacy rights
• Contains malicious software
VAS may remove such content immediately.
- ACCOUNT SUSPENSION
VAS reserves the right to suspend or terminate accounts where:
- Terms are breached.
• Copyright complaints arise.
• Fraud is suspected.
• Legal obligations require action.
- LIMITATION OF LIABILITY
VAS provides the platform on an “as available” basis.
VAS shall not be liable for:
- Loss of profits
• Loss of data
• Indirect damages
• Business interruption
• Third-party actions
Liability shall not exceed fees received by VAS during the previous twelve months.
- DATA PROTECTION
Personal information is processed in accordance with the VAS Privacy Policy.
Artists agree to comply with applicable data protection legislation including UK GDPR.
- CHANGES TO THIS AGREEMENT
VAS may update this Agreement periodically.
Continued use of the platform constitutes acceptance of any revised terms.
- GOVERNING LAW
This Agreement shall be governed by the laws of Northern Ireland.
Any disputes shall be subject to the exclusive jurisdiction of the Courts of Northern Ireland.
